What is a quotation terms and conditions?

Quotation terms and conditions are the short rules printed on a quote that set how long the price is valid, how and when the client pays, what is included, and what happens if the scope or timeline changes.

The price gets the client's attention, but the terms decide whether the job goes smoothly. Clear quotation terms answer the questions that cause disputes later: Is tax included? When is the deposit due? What if the client wants changes? What if they cancel? Keep them short, specific and in plain language, and put them on every quote you send.

Validity and acceptance

Intellectual property and deliverables

  3. Third-party assets (fonts, stock images, plugins) are licensed separately and remain subject to their own terms.

Warranty and liability

  1. Workmanship is guaranteed for [12] months from completion. Manufacturer warranties apply to materials.

  2. Our total liability is limited to the value of this quotation.

  3. We are not liable for delays caused by events beyond our reasonable control.

Cancellation

  1. The client may cancel in writing before work starts. The deposit is [non-refundable / refundable less costs incurred].

  2. If the project is cancelled after work has started, the client pays for work completed and materials ordered to date.

  3. Custom-made or special-order items cannot be cancelled once ordered.

GST (India)

  1. GST at [18]% is extra as applicable. CGST + SGST for intra-state supply; IGST for inter-state supply.

  2. This is a quotation, not a tax invoice. A GST tax invoice will be issued on acceptance.

  3. Please share your GSTIN to claim input tax credit.

  4. Prices are subject to change if GST rates change before the invoice date.

How to Write Terms That Protect You

  • Put numbers in every clause: days, percentages, amounts. "Payment due soon" cannot be enforced; "within 14 days" can.
  • Lead with validity and payment. They are the two terms clients read, and the two that cause the most disputes.
  • Match the terms to the job. A product sale needs delivery and returns terms; a service job needs revisions and scope terms.
