Rules vary by country, but most legal systems look for the same core elements before treating an agreement as a contract. This is general information, not legal advice.

Contract vs. Agreement: Is There a Difference?
An agreement is any understanding between two or more parties. A contract is an agreement that has the elements needed to be enforceable: an offer, acceptance, something of value exchanged, and parties with the capacity to agree. Every contract is an agreement, but not every agreement is a contract. In business the two words are used interchangeably, so a service agreement and a service contract are usually the same document.
